These Terms of Service ("Terms") govern your access to and use of the website, products, and services offered by Peaceful.Trade ("Peaceful.Trade," "we," "us," or "our"). By accessing or using our site or services, you agree to these Terms.
If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not access or use our site or services.
1) Acceptance of Terms
- By visiting, creating an account, submitting a form, or purchasing any service, you agree to these Terms and our Privacy Policy (linked on our site).
- We may update these Terms from time to time. Changes are effective on posting. Your continued use constitutes acceptance of the updated Terms.
- Supplemental terms (e.g., statements of work, order forms, service agreements) may apply to specific projects; if there's a conflict, the signed project agreement controls for the conflicting subject.
2) Eligibility & Accounts
- You must be at least the age of majority in your jurisdiction and capable of entering into a binding agreement.
- You are responsible for safeguarding your account credentials and for all activity under your account.
- Provide accurate information and promptly update any changes.
3) Permitted Use; Prohibited Conduct
You agree not to, and not to attempt to:
- Use the site or services for unlawful, infringing, deceptive, abusive, or harmful purposes.
- Reverse engineer, decompile, disassemble, or derive source code from our site/services except to the extent such restrictions are prohibited by law.
- Interfere with or disrupt the integrity or performance of the site/services, bypass access controls, or perform denial-of-service attacks.
- Upload or transmit malware, automated scraping, or excessive API/automation that imposes unreasonable load.
- Misrepresent your identity or affiliation, or violate third-party rights (including IP, privacy, or contractual rights).
We may suspend or terminate access for violations (see Section 15).
4) Intellectual Property & Ownership
- Our IP. The site, its design, text, graphics, logos, code, documentation, and all other materials provided by Peaceful.Trade (collectively, "PT Materials") are owned by Peaceful.Trade or its licensors and are protected by IP laws. Except for the limited rights expressly granted, we reserve all rights.
- Limited Site License. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the site for its intended purpose, subject to these Terms. Any use of PT Materials beyond this license is prohibited.
- Pre-existing Tools & Know-How. Peaceful.Trade retains all rights, title, and interest in and to its pre-existing tools, libraries, frameworks, templates, processes, and know-how used in delivering services.
- Client Deliverables. Ownership of custom deliverables (e.g., Pine Script indicators/strategies) is governed by your separate service agreement or order form. Unless that agreement states otherwise, ownership transfers upon full payment as specified there; until then, you receive only a limited right to review/test.
- Feedback. If you provide suggestions, ideas, or feedback, you grant Peaceful.Trade a perpetual, worldwide, royalty-free license to use and incorporate them without obligation to you.
5) User Content
- You represent you have all rights to any content, data, credentials, or materials you submit and that such content does not infringe third-party rights or violate law.
- You grant Peaceful.Trade a limited license to use your content solely to operate, maintain, improve, and deliver the services to you.
6) Confidentiality (Website Use)
- Information you submit through forms or accounts may be handled per our Privacy Policy. Public areas of the site should not be used to share sensitive information.
- Project-level confidentiality (e.g., NDAs) is governed by your project agreement. If no separate NDA applies, do not submit proprietary or secret trading logic through public channels.
7) Third-Party Services & Links
Our site may reference or integrate third-party content, platforms, or services. Peaceful.Trade is not responsible for third-party terms, policies, or actions. Your use of those services is at your own risk and subject to third-party terms.
8) Payment, Subscriptions & Refunds
- Pricing, payment schedules, and deliverables are defined in your signed service agreement or order form.
- Except as expressly stated in an agreement or required by law, all payments are non-refundable.
- You authorize us (and our payment processors) to charge your payment method for amounts due. You are responsible for taxes, duties, and bank fees.
9) Trading & Investment Disclaimers
- No Investment Advice. Peaceful.Trade provides software, analytics, and tools for informational and educational purposes only. We do not provide financial, investment, legal, accounting, or tax advice.
- No Performance Guarantee. Past performance is not indicative of future results. Markets involve risk; you can lose money. You are solely responsible for investment decisions and for understanding platform limitations (e.g., backtesting constraints, slippage, latency).
- Data & Availability. We do not warrant that data feeds, exchanges, brokers, TradingView, or any third-party integrations will be uninterrupted, current, or error-free.
10) Warranties & Disclaimers
- AS IS. Except for any express warranties in a signed service agreement, the site and PT Materials are provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement.
- We do not warrant that the site/services will be secure, accurate, error-free, uninterrupted, or meet your requirements.
11) Limitation of Liability
To the maximum extent permitted by law:
- Peaceful.Trade will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages (including lost profits, lost data, trading losses, or business interruption) arising from or related to these Terms or your use of the site/services, even if advised of the possibility.
- Our aggregate liability for all claims arising from or related to the site/services under these Terms will not exceed the greater of (a) amounts you paid to Peaceful.Trade for website-based services in the three (3) months preceding the event giving rise to liability, or (b) USD $100.
- Some jurisdictions do not allow certain limitations; in such cases, the limitations apply to the fullest extent permitted.
12) Indemnification
You will defend, indemnify, and hold harmless Peaceful.Trade and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the site/services, (b) your content, (c) your violation of these Terms or law, or (d) your infringement or misappropriation of third-party rights.
13) IP Complaints / DMCA
If you believe content on our site infringes your copyright, please send a notice including: (i) your contact info, (ii) identification of the copyrighted work and the allegedly infringing material, (iii) a statement of good-faith belief, (iv) a statement under penalty of perjury that your notice is accurate and you are authorized, and (v) your physical or electronic signature to:

14) Privacy & Security
- Our processing of personal data is described in our Privacy Policy. By using the site/services, you consent to such processing.
- You are responsible for implementing reasonable security on your systems, accounts, and API keys. Do not share credentials publicly.
15) Suspension & Termination
We may suspend or terminate your access to the site/services immediately (with or without notice) if we believe you violated these Terms, law, or third-party rights, or to address security, operational, or legal risks. Upon termination, Sections that by their nature should survive (including 4–13, 16–19) will survive.
16) Force Majeure
We are not responsible for delays or failures caused by events beyond our reasonable control (e.g., acts of God, internet/provider outages, platform downtime, cyberattacks, government actions).
17) Governing Law; Venue; Waiver of Class Actions
These Terms are governed by the laws of Alberta, Canada, without regard to conflicts of laws. The parties submit to the exclusive jurisdiction of the provincial and federal courts located in Alberta for any dispute not resolved informally. To the extent permitted by law, you waive any right to participate in a class or representative action against Peaceful.Trade arising from or related to these Terms or the site/services.
18) International Use
You are responsible for compliance with local laws. We do not represent that the site/services are appropriate or available in every jurisdiction.
19) Miscellaneous
- Entire Agreement. These Terms (plus any referenced policies and applicable project agreements) are the entire agreement regarding site use and supersede prior understandings on that topic.
- Severability. If any provision is unenforceable, it will be limited or eliminated to the minimum extent necessary and the remainder will remain in effect.
- No Waiver. Failure to enforce any provision is not a waiver.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
